# CLA version manifest

## What is LIVE now (2026-10-21), independent of the CLA

These protect the project and the free↔commercial separation today and need no
counsel sign-off:
- **Inbound = AGPL-3.0** for all contributions (CONTRIBUTING).
- **DCO sign-off required** on every commit (CONTRIBUTING + `.github/dco.yml`;
enforcement flips on when the DCO App is installed — a GitHub settings step).
- **Arm's-length boundary** between the AGPL core and the commercial product
(`docs/legal/PRIVATE_REPO_BOUNDARY.md`; CI-enforced in the commercial repo).
- **Founder ownership** of the core: CONFIRMED_BY_FOUNDER (consultant IP
assignment exists; text not yet reviewed).

## CLA (interim-adopted; signing gated on counsel)

> The CLA is **adopted as the project's policy direction** and is **not yet open
> for signature**. It becomes signable only after counsel approves the final
> wording, we freeze the exact text, and record its SHA-256 (see
> `.github/CLA_SETUP.md`). Until then, the LIVE rules above govern contributions.

History:
- 2026-10-21 — initial drafts (ba45498 / ed638c3), entity filled in (fc49154).
- 2026-10-21 — replaced individual/corporate/schedule with the Astra-reviewed
  proposed revisions (grant-to-Company-only copyright, beneficiary-specific
patent retaliation, affirmative version-specific assent, Excluded Material,
Company consideration, M&A transfer, Delaware governing law). Pre-swap copies
  preserved under `.legal-private/`.

Open counsel decisions remain in `.legal-private/Armur_CLA_Review_and_Proposed_Agreements.txt`
(Section F) — governing law/forum, patent-retaliation business cost, moral-rights
consent sufficiency, India §19/§30A review, consideration adequacy, and whether
selected copyright assignments are needed for enforcement standing.
